Terms & Conditions — FNS INC

1) Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms to use the Services.

2) The Services

FNS provides software and automation tools that may include:

• AI receptionist and call handling
• Appointment scheduling and reminders
• Transactional SMS communications
• Operational and performance reporting

FNS orchestrates workflows but does not make business decisions on behalf of customers. Certain features rely on third-party systems.

3) Client Responsibilities

If you use FNS for your business, you represent and warrant that:

• You have obtained all required customer consents for communications, including SMS
• You will comply with applicable laws and carrier policies
• You will not use the Services for spam, deceptive, or unlawful messaging
• You will honor opt-outs and help requests

4) SMS Appointment Reminder Program

If messaging features are enabled, FNS may send transactional text messages related to scheduled appointments, including opt-in confirmations, 24-hour reminders requesting confirmation, 1-hour reminders, post-appointment feedback requests, and review invitations only after positive feedback.

By verbally agreeing during scheduling and confirming via SMS reply (YES), you consent to receive these transactional messages.

Message frequency varies per appointment (typically 3–5 messages per scheduled appointment).

To opt out at any time, reply STOP. Opt-out requests will be honored and recorded for compliance purposes.

5) Acceptable Use

You agree not to misuse the Services, interfere with system operations, attempt unauthorized access, or violate third-party policies.

6) Third-Party Services

The Services may integrate with third-party platforms (e.g., messaging carriers, calendar providers). FNS is not responsible for outages, delays, or failures caused by third-party services.

7) Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FNS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

FNS DOES NOT GUARANTEE BUSINESS RESULTS, INCLUDING BOOKINGS, REVENUE, OR REVIEWS.

8) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

FNS'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO FNS IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9) Termination

We may suspend or terminate access to the Services for violations of these Terms or to protect the integrity of the platform.

10) Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

11) Binding Arbitration & Class Action Waiver

A. Arbitration agreement

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, not in court, except as permitted below.

B. Exceptions

Either party may bring an individual claim in small claims court or seek injunctive relief for misuse or unauthorized access.

C. Arbitration administration

Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules.

D. Class action waiver

YOU AND FNS AGREE THAT CLAIMS MAY ONLY BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

E. Arbitration opt-out

You may opt out of arbitration within 30 days of first accepting these Terms by emailing colin@fnsing.io with the subject line "Arbitration Opt-Out" and your identifying information.

12) Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
